Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Flmnt LLC, a California limited liability company located at 27790 Starfall Way, Murrieta, CA 92563 (“Flmnt,” “we,” “us”), governing your use of the Flmnt dashboard, command-line interface (CLI), and Model Context Protocol (MCP) services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old at the time of registration and reside in the United States; the Service is currently offered only to U.S. users. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.

2. The Service & beta status

The Service stores, indexes, and retrieves your workspace content and lets you query it. The Service is currently a pilot / pre-release offering provided on an “as available” basis. Features may change, be added, or be removed, and we may limit, suspend, or discontinue all or part of the Service at any time. We do not promise any particular uptime or service level during the pilot.

3. Accounts & security

You are responsible for the accuracy of your account information, for safeguarding your credentials and API keys, and for all activity under your account. Enable multi-factor authentication where available, and notify us promptly at support@flmnt.ai of any unauthorized use.

4. Acceptable use

You agree not to:

  • break the law or infringe others’ rights using the Service;
  • upload content you lack the right to use, or that is unlawful, harmful, or malicious;
  • probe, scan, overload, or attempt to bypass the security, rate limits, or access controls of the Service;
  • reverse engineer, resell, or build a competing service from the Service except as permitted by law;
  • use the Service to develop or train a competing model from data you do not own.

5. Your content

You retain all rights to the content and data you submit (“Your Content”). You grant Flmnt a limited, worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate and secure the Service for you. You are responsible for Your Content and for having the rights necessary to submit it. Our handling of personal information is described in the Privacy Policy.

6. AI features & bring-your-own-key

The Service’s AI features operate under a bring-your-own-key model: you configure your own third-party AI provider and API key, and your prompts and retrieved context are sent to that provider, at your direction, to generate responses. You are responsible for your provider account, its costs, and compliance with its terms. AI output may be inaccurate, incomplete, or unsuitable; you must independently verify it before relying on it, and you are solely responsible for how you use it.

7. Third-party services

The Service interoperates with third-party services you choose (such as your AI provider and identity provider). We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

8. Fees

The pilot is currently provided free of charge. We may introduce fees in the future; if we do, we will give notice and your continued use after fees take effect will require your agreement to the applicable pricing terms. You remain responsible for any costs charged by your own AI provider.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by Flmnt and its licensors. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to use the Service. We reserve all rights not expressly granted.

10. Feedback

If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends; sections that by their nature should survive (e.g., content licenses you granted for processing, IP, disclaimers, limitation of liability, indemnification, and governing law) survive.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FLMNT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You will defend, indemnify, and hold harmless Flmnt from claims, losses, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

15. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing a claim, you agree to try to resolve it informally by contacting us. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

16. Changes to these Terms

We may update these Terms. Substantive changes are announced on this page (and by email where appropriate) before they take effect; the effective date above is always current. Your continued use after changes take effect means you accept the updated Terms.

17. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Flmnt regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. We are not liable for events beyond our reasonable control.
